Agreement to these terms

These Terms of Use govern your access to www.ithcc.com (the “Site”), operated by IT Healthcare Consulting (“ITHCC”, “we”, “us”). By using the Site you agree to these terms. If you do not agree, please do not use the Site.

The Site is not a consulting engagement

Everything on the Site is provided for general information about our services. It is not technical, clinical, legal, or compliance advice, and reading it does not create a consulting relationship between us. Paid work is governed by a separate written agreement — a statement of work, master services agreement, or similar. Where those documents and these terms disagree, those documents control.

Acceptable use

When using the Site, you agree not to:

• Attempt to gain access to accounts, systems, or data you are not authorized to reach.
• Probe, scan, or test the security of the Site except with our prior written permission.
• Interfere with the Site's availability, including through automated request volume that degrades service for others.
• Scrape or harvest content for resale, or to train a machine learning model, without our written permission.
• Upload or transmit malicious code, or content that is unlawful or infringing.
• Misrepresent your identity or your affiliation with any organization.

Chat assistant and voice assistant

The Site offers an AI assistant. Its responses are generated automatically, may be inaccurate or incomplete, and are not a substitute for professional advice or for speaking with our team. Do not rely on them for clinical, regulatory, or contractual decisions.

Do not enter protected health information (PHI), member or patient identifiers, credentials, or other confidential data into the assistant. The Site's assistant is general-purpose and is not a HIPAA-covered channel. To discuss anything sensitive, contact us directly so we can arrange an appropriate channel and, where applicable, a Business Associate Agreement.

Conversations are logged as described in our Privacy Policy.

Client portal

Access to the client portal and file exchange is granted by invitation and is limited to the organization and purpose for which it was issued. If you hold portal credentials, you agree to:

• Keep your credentials confidential and not share your account.
• Use the portal only for files related to your engagement with us.
• Notify us promptly at info@ithcc.com if you believe your account has been compromised.

We may suspend or revoke portal access at any time, including when an engagement ends or when we believe an account is being misused. Files in the portal are retained for the duration of the engagement unless your agreement with us says otherwise.

Intellectual property

The Site, its content, and its design are owned by ITHCC or our licensors and are protected by copyright and other laws. You may view and print pages for your own evaluation of our services. You may not republish, redistribute, or create derivative works from Site content without our written permission. Our name, logo, and marks may not be used without permission. Third-party product names — including those of platforms we work with — belong to their respective owners and are used for identification only.

Links to other sites

The Site may link to services we do not control. We are not responsible for their content or their practices, and a link is not an endorsement.

Availability

We aim to keep the Site available, but we do not guarantee uninterrupted access. We may change, suspend, or discontinue any part of it at any time. Service levels for paid engagements, where they exist, are set out in the relevant agreement and not here.

Disclaimer

The Site and its content are provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be error-free or that its content is accurate or current.

Limitation of liability

To the fullest extent permitted by law, ITHCC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of your use of the Site — whether based in contract, tort, or any other theory, and even if we have been advised of the possibility of such damages. Nothing here limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless ITHCC and its personnel from claims and expenses arising out of your misuse of the Site or your breach of these terms.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. The state and federal courts located in Broward County, Florida will have exclusive jurisdiction over any dispute arising from them.

Changes

We may update these terms; the current version is always at this address, with the date of last revision shown above. Continuing to use the Site after a change means you accept the revised terms.
